The agreement between you and AI Receptionist
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and AI Receptionist ("Company," "we," "our," or "us") governing your use of our AI-powered phone answering services ("Services").
By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
AI Receptionist provides an AI-powered virtual receptionist service that:
- Answers phone calls on your behalf
- Engages callers in conversation using AI
- Takes messages and captures caller information
- Schedules appointments (when configured)
- Provides call transcripts and recordings (when enabled)
The AI operates based on configurations you provide. You are responsible for ensuring your configurations are appropriate for your use case.
3. Account Registration
To use our Services, you must create an account and provide accurate, complete information. You agree to:
- Provide truthful registration information
- Maintain the security of your account credentials
- Promptly update information if it changes
- Accept responsibility for all activity under your account
- Notify us immediately of unauthorized access
We may suspend or terminate accounts that provide false information or violate these Terms.
4. Acceptable Use
You agree to use our Services only for lawful purposes. You may not:
- Use the Services to make or facilitate illegal robocalls or spam
- Configure the AI to make false or misleading statements
- Use the Services to harass, threaten, or defraud others
- Attempt to circumvent usage limits or security measures
- Resell access to the Services without our written permission
- Use the Services in violation of TCPA, state telemarketing laws, or other applicable telecommunications regulations
5. Call Recording and Consent
If you enable call recording or transcription features:
- Your responsibility: You are responsible for complying with all applicable call recording consent laws in your jurisdiction and the jurisdiction of your callers.
- Disclosure: Many jurisdictions require informing callers that the call may be recorded. You should configure appropriate disclosures in your AI greeting.
- Two-party consent: Some jurisdictions require consent from all parties. You are responsible for understanding and complying with these requirements.
We provide configuration options to help with compliance, but compliance remains your responsibility.
6. Fees and Payment
You agree to pay all fees associated with your selected plan according to the pricing displayed at the time of purchase.
- Subscription fees: Billed in advance on a monthly or annual basis, depending on your plan.
- Usage fees: If applicable, usage beyond plan limits is billed in arrears.
- Payment method: You authorize us to charge your provided payment method for all fees due.
- Taxes: Fees are exclusive of taxes unless stated. You are responsible for applicable taxes.
We may change pricing with 30 days notice. Continued use after a price change constitutes acceptance.
7. Cancellation and Refunds
You may cancel your subscription at any time through your account settings.
- Cancellation takes effect at the end of your current billing period.
- No prorated refunds are provided for partial billing periods.
- Annual subscriptions may be eligible for partial refunds at our discretion.

8. Intellectual Property
8.1 Our Property
The Services, including all software, AI models, documentation, and branding, are owned by AI Receptionist and protected by intellectual property laws. These Terms do not grant you any ownership rights.
8.2 Your Content
You retain ownership of content you provide (configurations, knowledge base content, etc.). You grant us a license to use this content as necessary to provide the Services.
8.3 Call Data
Call recordings, transcripts, and metadata generated through your use of the Services are considered your data, subject to the terms of our Privacy Policy.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Services are provided "as is" and "as available."
- We may perform maintenance that temporarily affects availability.
- Third-party services (telephony providers, AI providers) may experience outages beyond our control.
- We will make reasonable efforts to notify you of planned maintenance.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- OUR TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
- WE ARE NOT LIABLE FOR ACTIONS TAKEN BY THE AI THAT YOU DID NOT EXPLICITLY CONFIGURE OR APPROVE.
- WE ARE NOT LIABLE FOR LOSSES DUE TO THIRD-PARTY SERVICE OUTAGES.
Some jurisdictions do not allow certain limitations. In such cases, our liability is limited to the maximum extent permitted.
11. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of applicable laws
- Content or configurations you provide
- Disputes with your callers or customers
12. Termination
Either party may terminate for convenience with 30 days written notice. We may terminate or suspend immediately if you:
- Violate these Terms
- Fail to pay fees when due
- Use the Services for illegal purposes
- Pose a security risk to our systems
Upon termination, your right to use the Services ends. We may delete your data according to our retention policies unless you export it first.
13. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after modifications become effective constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of [STATE/JURISDICTION], without regard to conflict of law principles.
